Founded in 1939 by Eric Warburg as E.M. Warburg & Co., the firm evolved into its modern form following a 1966 merger with Lionel I. Pincus & Co. Under the leadership of Lionel Pincus and John Vogelstein, the firm pioneered a strategy of investing in diversified companies of various sizes rather than strictly focusing on venture-stage startups. This approach helped establish Warburg Pincus as one of the oldest and largest private equity firms globally.

The firm is characterized as a growth investor, having raised dozens of private equity and real estate funds.
