Morgan Stanley Capital Partners

Morgan Stanley Capital Partners (MSCP) was founded in 1985 as the private equity arm of the investment bank Morgan Stanley. Between 1985 and 2004, the group invested over $7 billion across four primary funds, including the $2.2 billion Fund II and the $3.3 billion Fund IV. The firm established a reputation for executing leveraged buyouts and growth equity investments across a diverse range of industries.

In 2004, the MSCP team spun out from Morgan Stanley to become an independent firm renamed Metalmark Capital. This move was part of a larger industry trend where major investment banks spun off their private equity units to avoid regulatory and conflict-of-interest issues. Following the spinout, the firm raised its first independent fund and was later acquired by Citigroup Alternative Investments in December 2007.

The firm focuses on middle-market companies, leveraging its deep historical roots at Morgan Stanley to target complex transactions. Throughout its history, it has managed approximately $8.5 billion in total capital commitments. It continues to operate as a subsidiary under the Citigroup umbrella following the acquisition by Vikram Pandit's team.
