Morgan Stanley Capital Partners (MSCP) was established in 1985 as the private equity arm of the investment bank Morgan Stanley. Between 1985 and 2004, the group was a prolific institutional investor, raising approximately $7.3 billion across four primary funds to execute leveraged buyouts. The group's largest fund under the Morgan Stanley banner, Fund IV, was raised in 1999 with $3.3 billion in capital commitments.
In 2004, the MSCP team spun out from Morgan Stanley to become an independent firm renamed Metalmark Capital. This move was part of a broader industry trend where major investment banks divested their direct private equity units. Following its independence, the firm was later acquired by Citigroup Alternative Investments in 2007, where it continued its focus on middle-market investments across various industrial sectors.
