Founded in 1995 by John W. Childs, a former senior partner at Thomas H. Lee Partners, J.W. Childs Associates (JWC) established itself as a significant player in the middle-market buyout space. The firm was launched following Childs' successful tenure at THL, where he orchestrated high-profile deals for brands like Snapple and Ghirardelli. Headquartered in Waltham, Massachusetts, the firm focuses on consumer products, healthcare, and specialty retail sectors.

Throughout its history, the firm raised approximately $3.1 billion across three primary private equity funds. However, JWC faced challenges in the late 2000s, including a failed attempt to raise a $2.5 billion fourth fund in 2007 due to below-median performance in prior funds and the onset of the global credit crunch. In response to a difficult institutional fundraising environment, the firm explored alternative capital-raising avenues, including the registration of a special-purpose acquisition company (SPAC) in 2008.
