Madison Dearborn to take Marygold private

Stockholders will receive $2.00 per share in cash. Incoming CEO Tim Rotolo previously scaled a uranium mining ETF past $1 billion. Holders of around 75 percent of shares have agreed to back the deal.

The private equity firm Madison Dearborn Partners has reached an agreement to acquire The Marygold Companies in an all-cash transaction, taking the holding company private. Under the terms of the deal, Marygold stockholders are set to receive $2.00 per share. This price represents a 100 percent premium compared to the company’s closing share price on September 24, 2026. Approximately 75 percent of Marygold’s shareholders have indicated their support for the acquisition.

Marygold operates as a holding company with a diverse portfolio of subsidiaries spanning financial services, food manufacturing, printing, and beauty products. Its operations are distributed across the United States, New Zealand, and the United Kingdom. A key asset within its portfolio is USCF, an exchange-traded fund (ETF) manager based in Walnut Creek, California. USCF currently oversees approximately $6 billion in assets under management across a variety of ETFs and exchange-traded products.

USCF is recognized for its offerings in commodity-focused ETFs, holding positions in oil, natural gas, copper, broad commodity index, and equity income funds. The firm also notes its launch of the first oil ETP in 2006, highlighting its history in the commodity ETF sector. The acquisition by Madison Dearborn Partners is expected to streamline Marygold’s operational focus.

Following the completion of the acquisition, Madison Dearborn Partners and Marygold’s leadership intend to implement the company
